Biographical Sketch of Professionals
H. Morgan Brookfield, III, is the founder, Chairman and CEO of Brookfield & Company, a private merchant banking firm established in 1989. Subsequent to earning a B.S. in Business Administration from the University of Tennessee, Mr. Brookfield was with Morgan Guaranty Trust Company in New York and regional banks in the Southeast. He also is a graduate of the Graduate School of Banking at the University of Wisconsin. During his 26 years in the commercial banking and corporate finance industry, he gained significant experience directing the following areas: asset-based lending, special loans, secured term loans, commercial loans, mortgage banking, venture capital, leasing, workouts, and turnarounds. Mr. Brookfield is also Chairman of SecurAmerica Business Credit and a present or past member of the Board or Advisory Board of Wang’s International, Inc., Medshares Management Group, Inc., Conley Frog/Switch & Forge Co., First Commercial Bank, and the Christian Brothers University School of Business.
Victor E. Rodriguez, a founding member and President of Brookfield & Company, is also currently serving as President of Meridian Manufacturing Corp. He earned a B.S. in Business Administration from Christian Brothers University and an MBA from Loyola University. Before joining Brookfield & Company, Mr. Rodriguez held positions with Merrill Lynch and Howard Weil, LaBouisse, Freidrichs, Inc. He brings not only eleven years of experience in commercial and investment banking to the group, but also an outstanding performance record in the development and sale of securitized products in the public market. Mr. Rodriguez has had proven successes with profit enhancement and cost control in the manufacturing and distribution industries.
Robert S. King is President of Acquisition Management Services, Inc., a Brookfield & Company affiliate which provides confidential innovative acquisition support services to middle market purchasers, investors and sellers. He earned a B. E. degree from Vanderbilt University and has been an entrepreneurial business founder/owner/manager for over 20 years of his career. Experienced in administration, strategic planning and human resources, Mr. King has specialized in managing business sale and acquisition transactions since 1995. He is a member of The Institute of Business Appraisers, The Memphis Rotary Club and has served on numerous community service boards.
David A. Carlson is General Manager of Buyer Services with Acquisition Management Services, Inc. He brings twenty years of financial services and marketing experience to the Brookfield Companies. Beginning his career in retail bank marketing and branch management, Mr. Carlson progressed to 1st Vice President, Marketing Director of Union Planters Investment Bankers Group. His marketing career has been strengthened by running his own company, Carlson Communications, Inc. and seven years with Smith & Nephew, Inc., worldwide manufacturer of healthcare products. He earned his B.A. degree from the University of Memphis, is a member of Rotary Club Memphis East and serves on various community boards.
James J. Sherman, an associate of Brookfield & Company, earned a B.B.A. in marketing from the University of Mississippi and an MBA from Washington University. Mr. Sherman is a certified industrial engineer and has significant operating experience as General Manager of several manufacturing and distribution companies. He also co-founded and managed a multi-state distributor of office equipment.
Judson L. Peters, is a Principal of Brookfield Capital Corporation and Managing Director of Private Placements for the firm. After receiving his B.B.A. from the University of Mississippi, Mr. Peters worked in the bond division of a major regional bank and in the retail equity division of a large regional securities firm. Prior to joining Brookfield Capital Corporation, he was a Principal in a boutique investment firm involved in structuring and raising capital for private securities transactions, and developing and implementing money management programs. Mr. Peters carries NASD Series 7, 24, & 26 securities licenses.
Joseph Eberle, III is Managing Director of Strategic Asset Consulting, a division of Brookfield Capital Corporation, which specializes in investment consulting for defined benefit plans, 401(k)s and high net worth individuals. In addition to more than ten years experience as an investment consultant, he had an extensive background in banking and financial communications. Jay was trained at E. F. Hutton as an investment consultant specializing in ERISA plans, hedging strategies, and funds for tax exempt organizations. He holds a B. A. degree in History from the University of Memphis and also a Cluster Degree awarded by Christian Brothers University in Business Sciences and Computer Information Systems. Mr. Eberle carries NASD Series 7 & 24 securities license. Mr. Eberle also holds his Tennessee insurance license specializing in life, variable, and accident/health insurance.
James M. Torode is the Principal and Manager of the Private Client Group for Brookfield Capital Corporation. He manages investment portfolios for high net worth individuals, professionals, business owners and retirees. Retirement, insurance and estate planning are among his specialties. Prior to joining Brookfield, he worked for a major securities firm and several large bank brokerage and investment divisions. He has a B.B.A. in Economics from the University of Memphis. Mr. Torode carries NASD Series 4, 7, 24, 53 & 63 securities licenses. Mr. Torode also holds his Tennessee insurance license specializing in life, variable, and accident/health insurance.
J. Waldrup Brown, Jr. is Manager of Debt Placement for Brookfield & Company. He has over twenty years of banking experience, both commercial and retail, ranging from executive positions with large regional banks to President of a community bank. His banking background includes commercial lending, retail and metropolitan banking, He also worked with Sedgwick James for approximately three years, and most recently with Nafco Holding Company in Dallas, Texas, a $300 million subprime automobile lender. Mr. Brown has a B. A. degree in Political Science from the University of the South, Sewanee, Tennessee.
Candis Lee is currently providing direct client interface and administrative support for Acquisitions Management Services, Inc. Prior to joining the Brookfield Companies, Ms. Lee held positions of increasing responsibility in both the retail and service industries. She has an M.B.A. from the University of Memphis.
